Terms of Service

By accessing or using STAG (the "Service") provided by B Code (Pvt) Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and B Code (Pvt) Ltd, a company registered in Sri Lanka.

STAG is a cloud-based Office Management System that provides modules including but not limited to: Fleet Management, Document Registry, Inventory Management, Consumables Management, Human Resources & Payroll, Accounting, Analytics, and Grievance Management ("Modules").

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To use the Service, you must create an account. You agree to:

• Provide accurate, complete, and current registration information
• Maintain the security of your password and account credentials
• Promptly notify us of any unauthorized access or security breach
• Be responsible for all activities that occur under your account

One organization account may be used by multiple named users as permitted by your subscription plan.

4.1 Plans. The Service is offered on a subscription basis under plans described at our pricing page. Plan features, user limits, and module access vary by plan.

4.2 Fees. All fees are quoted in Sri Lankan Rupees (LKR) and are exclusive of VAT unless stated otherwise. VAT at the current applicable rate will be added to all invoices.

4.3 Payment. Subscription fees are payable monthly or annually in advance. We accept Bank Transfer, Credit Card, and Online Payment. Payment must be received by the due date to maintain uninterrupted access.

4.4 Price Changes. We may change subscription prices with 30 days' written notice. Continued use after the effective date constitutes acceptance.

4.5 Free Trials. We may offer free trials for a specified period. At the end of the trial, your account will require a paid subscription to continue access. We reserve the right to modify or discontinue trial offers.

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable Sri Lankan or international law
• Upload, store, or transmit any malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Service or other accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or otherwise commercialize access to the Service without our written consent
• Use automated means to scrape or extract data from the Service
• Interfere with or disrupt the integrity or performance of the Service

Your use of the Service is subject to our Privacy Policy and Data Processing Agreement, which are incorporated by reference.

You retain ownership of all data you submit to the Service ("Customer Data"). By submitting Customer Data, you grant us a limited, non-exclusive license to process and store it solely to provide the Service.

We implement appropriate technical and organizational measures to protect Customer Data. You are responsible for the accuracy and legality of the data you upload.

The Service, including all software, designs, trademarks, and content created by us, is owned by B Code (Pvt) Ltd and protected by Sri Lankan and international intellectual property laws.

Nothing in these Terms grants you ownership of any intellectual property rights in the Service. You may not copy, modify, or distribute any part of the Service without our prior written consent.

Each party agrees to keep confidential any proprietary or non-public information disclosed by the other party in connection with the Service ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes publicly known through no breach of these Terms; (b) was already known to the receiving party; (c) is independently developed without reference to the disclosing party's information.

9.1 Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE FEES YOU PAID IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

9.3 We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

9.4 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by applicable Sri Lankan law.

You agree to indemnify, defend, and hold harmless B Code (Pvt) Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights.

11.1 These Terms remain in effect while you use the Service.

11.2 You may terminate your account at any time by contacting us. Termination does not entitle you to a refund except as provided in our Refund Policy.

11.3 We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or if required by law.

11.4 Upon termination, your right to access the Service ceases. We will retain your data for 30 days after termination, after which it may be deleted. You may request a data export before termination.

These Terms are governed by the laws of Sri Lanka. Any dispute arising out of or related to these Terms shall be resolved by the courts of Sri Lanka, with exclusive jurisdiction in Colombo.

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance.
